Investment in Electro-Flow Controls Limited

Client : Simmons Parallel Energy LP (“Simmons”) and Maven Capital Partners UK LLP (“Maven”)

We acted for both Simmons and Maven in relation to their investment of, in aggregate, in the region of £5,000,000, in Electro-Flow Controls Limited. 

The investment was made through Intercede (Scotland) 1 Limited,  a private limited company incorporated for this purpose.  The investment backed a management buy-in team.

Clydesdale Bank plc. provided £4,500,000 of banking facilities to Intercede (Scotland) 1 Limited and its subsidiaries.

Electro-Flow Controls Limited designs, manufactures, installs and commissions a range of control, monitoring and instrumentation systems for the global oil and gas industry.

Simmons is a private equity fund established to make minority co-investments, typically of £2,000,000 to £5,000,000, across the energy sector.  This was Simmons first investment. 

Maven provides equity finance for established and entrepreneurial businesses, where the enterprise value is between £5,000,000 and £25,000,000.

We attended to all aspects of the investment documentation and over-viewed the acquisition and banking processes relevant to the investors.
